17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms and any dispute arising out of or relating to your use of the Website or purchase of Products shall be governed by the laws of the State of Michigan and the Federal Arbitration Act (9 U.S.C. § 1 et seq.), without regard to conflict of law principles.

These Terms also govern any disputes arising under our Warranty Policy, Privacy Policy, Shipping & Returns Policy, or Accessibility Statement unless otherwise prohibited by applicable law.

17.2 Informal Resolution Requirement

Before initiating arbitration or court proceedings, you and Helwig Labs LLC (“Company”) agree to first attempt to resolve the dispute informally.

To begin this process, the party asserting the dispute must send written notice describing the nature of the claim and the requested relief to:

The parties agree to allow at least 30 days from receipt of written notice to attempt resolution before initiating arbitration or litigation.

17.3 Small Claims Court Option

Either party may bring an individual claim in a small claims court located in Oakland County, Michigan, provided the claim qualifies and remains on an individual (non-class) basis.

17.4 Binding Arbitration

If the dispute cannot be resolved informally and does not qualify for small claims court, the dispute shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect.

Arbitration shall:

  • Be conducted on an individual basis only
  • Take place in Oakland County, Michigan, unless the parties agree otherwise
  • Be conducted in English
  • Allow reasonable discovery as permitted by the arbitrator
  • Result in a written decision

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

17.5 Cost of Arbitration

Payment of arbitration fees will be governed by the applicable AAA Consumer Arbitration Rules.

Each party shall bear its own attorneys’ fees unless otherwise required by law or awarded by the arbitrator.

17.6 Class Action Waiver

You and the Company agree that any dispute shall be resolved on an individual basis only and not as part of a class, consolidated, collective, or representative action.

The arbitrator shall not have authority to consolidate claims or preside over any form of class proceeding.

If this class action waiver is found unenforceable, the arbitration provision shall be deemed null and void.

17.7 Exceptions to Arbitration

Nothing in this section prevents either party from:

  • Seeking relief in small claims court as described above
  • Seeking injunctive or equitable relief in a court located in Oakland County, Michigan for intellectual property infringement or misuse

17.8 Severability

If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in full force and effect.

18. Changes to Terms

We may modify these Terms at any time. The updated Terms will be posted on the Website with the revised “Last Updated” date. Your continued use of the Website or purchase of products after any changes constitutes acceptance of the updated Terms.
